1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and QP Freight Services LLC regarding your use of our international logistics and shipping services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you must not use our services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.
2. Description of Services
QP Freight Services LLC provides international logistics and freight forwarding services, including but not limited to:
- Sea freight (FCL and LCL) shipping services
- Air cargo transportation
- Express delivery and courier services
- Customs clearance and brokerage
- Warehousing and distribution
- Supply chain consulting
- Insurance and risk management
- Documentation and compliance services
We act as intermediary and freight forwarder, coordinating with various carriers, agents, and service providers to facilitate your shipments. We do not own transportation vessels, aircraft, or vehicles used in the transportation of your goods.
3. User Responsibilities
3.1 Account Information
You are responsible for:
- Providing accurate, current, and complete information
- Maintaining the security of your account credentials
- Notifying us immediately of any unauthorized use
- Ensuring all communications are truthful and not misleading
3.2 Shipping Information
You must provide:
- Accurate descriptions of goods being shipped
- Correct weight, dimensions, and value information
- Complete and accurate pickup and delivery addresses
- All required documentation and certifications
- Proper packaging and labeling of goods
3.3 Compliance Obligations
You agree to:
- Comply with all applicable laws and regulations
- Obtain necessary permits, licenses, and certifications
- Pay all applicable duties, taxes, and fees
- Provide accurate customs declarations
- Not ship prohibited or restricted items
4. Prohibited and Restricted Items
You may not ship the following items through our services:
4.1 Absolutely Prohibited
- Illegal drugs and controlled substances
- Counterfeit goods and intellectual property violations
- Weapons, firearms, and ammunition
- Explosives and hazardous materials (without proper permits)
- Human remains and body parts
- Live animals (without proper permits)
- Items subject to international sanctions
4.2 Restricted Items (Special Permits Required)
- Food products and agricultural items
- Medical devices and pharmaceuticals
- Chemicals and hazardous materials
- High-value items (jewelry, precious metals)
- Electronic devices and batteries
- Textiles subject to quota restrictions
You warrant that all items shipped comply with applicable laws. We reserve the right to inspect shipments and refuse service for prohibited items.
5. Pricing and Payment
5.1 Service Charges
- Freight charges are based on weight, volume, distance, and service type
- Additional charges may apply for special services, fuel surcharges, and handling fees
- Customs duties, taxes, and government fees are separate from our charges
- Currency conversion fees may apply for international transactions
5.2 Payment Terms
- Payment is due before shipment unless credit terms are arranged
- We accept major credit cards, bank transfers, and approved payment methods
- Late payment fees may apply to overdue accounts
- We reserve the right to hold shipments until payment is received
5.3 Price Changes
We reserve the right to adjust prices due to fuel surcharges, currency fluctuations, regulatory changes, or other factors beyond our control. Price changes will be communicated in advance when possible.
6. Liability and Limitations
6.1 Service Limitations
Our liability is limited to the terms and conditions of the carriers we engage. We act as intermediary and are not liable for:
- Acts of carriers, agents, or other third-party service providers
- Delays caused by customs, weather, strikes, or force majeure events
- Loss or damage beyond the coverage provided by carriers
- Consequential, indirect, or special damages
- Business interruption or lost profits
6.2 Liability Limits
Unless otherwise agreed in writing, our total liability is limited to:
- The amount of freight charges paid for the specific shipment, or
- The carrier's liability limit as defined in their terms and conditions
- Maximum liability shall not exceed USD $100,000 per occurrence
6.3 Insurance
We strongly recommend purchasing cargo insurance for valuable shipments. Insurance coverage is available at additional cost and subject to policy terms and conditions.
7. Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, weather conditions, and acts of God
- War, terrorism, civil unrest, and government actions
- Labor strikes, lockouts, and work stoppages
- Pandemic, epidemic, or public health emergencies
- Equipment failures, accidents, and technical issues
- Customs delays and regulatory changes
- Supplier or carrier failures
8. Claims and Dispute Resolution
8.1 Claims Procedure
Claims for loss, damage, or delay must be:
- Reported in writing within 7 days of delivery (or expected delivery date)
- Supported by proper documentation and evidence
- Filed with the appropriate carrier when carrier liability applies
- Submitted with complete claim forms and supporting materials
8.2 Dispute Resolution
Disputes will be resolved through:
- Good faith negotiation and mediation
- Binding arbitration if negotiation fails
- Arbitration governed by applicable commercial arbitration rules
- Proceedings conducted in English
9. Intellectual Property
All content on our website and platform, including text, graphics, logos, and software, is our property or that of our licensors. You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks or logos without authorization
- Reverse engineer or decompile our software
- Create derivative works based on our platform
10. Data Protection and Privacy
Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to our data practices as described in the Privacy Policy.
We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure. You are responsible for maintaining the confidentiality of your account information.
11. Termination
Either party may terminate this agreement with written notice. We reserve the right to suspend or terminate services immediately if you:
- Breach these Terms or applicable laws
- Fail to pay outstanding charges
- Engage in fraudulent or illegal activities
- Ship prohibited items
- Pose a security risk to our operations
Termination does not affect outstanding obligations, completed transactions, or shipments in transit at the time of termination.
12. General Provisions
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of China and applicable international trade laws.
12.2 Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between the parties.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
12.4 Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations with reasonable notice.
